Terms of Service

1. Agreement to Terms

By accessing or using Ansiv Relay ("Service"), operated by Ansiv ("we", "our", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Ansiv Relay is a construction coordination platform that uses AI-assisted SMS communication to help builders, subcontractors, and suppliers manage schedule changes and exceptions. The Service interprets messages, simulates schedule impacts, and generates recommendations to streamline jobsite coordination.

3. Early Access

The Service is currently offered as an early access beta. Features, functionality, and availability may change without notice. The Service may contain bugs, errors, or inaccuracies.

4. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.

5. Account Responsibilities

You are responsible for:

  • Maintaining the security of your account credentials.
  • The accuracy of schedule data, contact information, and other information you provide.
  • Ensuring you have authorization to provide contact information for subcontractors, suppliers, and other third parties.
  • Obtaining appropriate consent from third parties before enrolling them in SMS communications through the Service.

6. AI-Assisted Features

The Service uses artificial intelligence to interpret messages, simulate schedule impacts, and generate recommendations. These AI-generated outputs are suggestions only and may contain errors, misinterpretations, or inaccuracies.

You acknowledge that:

  • AI-generated schedule impact analysis is approximate and may not account for all variables.
  • Recommendations are suggestions, not professional advice.
  • The builder or designated approver bears sole responsibility for reviewing and approving any proposed schedule changes before they take effect.
  • Ansiv Relay is a coordination tool, not a substitute for professional judgment.

7. SMS Communications

By using the Service, you consent to receive SMS messages from Ansiv Relay related to schedule coordination. Message frequency varies. Message and data rates may apply.

You may opt out of SMS messages at any time by replying STOP to any message. You are responsible for ensuring that subcontractors and suppliers you enroll through the Service have consented to receive SMS communications.

8. Supplier and Third-Party Information

The Service may display inventory availability, delivery windows, pricing, or other information from third-party suppliers. This information is provided on an "as-is" basis and represents a point-in-time snapshot. Ansiv does not guarantee the accuracy, availability, or timeliness of third-party supplier information.

9. Data Ownership and Retention

  • You retain ownership of your data, including schedules, project information, contact lists, and communications.
  • Upon account termination, your data will be retained for 90 days, after which it will be deleted.
  • We may use anonymized, aggregated data to improve the Service.

10. Acceptable Use

You agree not to:

  • Use the Service to send spam, unsolicited messages, or messages unrelated to construction coordination.
  • Interfere with or disrupt the Service.
  • Attempt to gain unauthorized access to any part of the Service.
  • Use the Service in violation of any applicable law or regulation.
  • Provide false or misleading information.

11. Intellectual Property

The Service, including its design, software, and documentation, is owned by Ansiv and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free; that AI-generated recommendations will be accurate or complete; that third-party supplier information will be current or correct; or that the Service will meet your specific requirements.

13. Limitation of Liability

To the maximum extent permitted by law, Ansiv shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service, regardless of the theory of liability.

This limitation applies to damages arising from schedule delays, disruptions, or losses resulting from reliance on the Service; errors or inaccuracies in AI-generated recommendations; inaccurate third-party supplier information; and service interruptions or downtime.

Our total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

14. Indemnification

You agree to indemnify and hold harmless Ansiv from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or rights of a third party.

15. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Washington State. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access to the Service immediately if we reasonably believe you have violated these Terms. Upon termination, your right to use the Service ceases immediately. Data retention after termination is governed by Section 9.

17. Changes to Terms

We may modify these Terms at any time by posting the updated version on our website. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms. We will make reasonable efforts to notify you of material changes.

18. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
